Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "Customer", "User") and Artemis Labs Pte. Ltd. ("we", "us", "our", "Company"), a company incorporated in Singapore, regarding your access to and use of LinkArtemis and any related software, APIs, documentation, and services (collectively, the "Service").

By creating an account, purchasing a licence, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

1. The Service

LinkArtemis is a software-as-a-service platform that assists users with link-building outreach, including AI-assisted prospect discovery, personalised email generation, outreach campaign management, reply handling, and related SEO tools (together, the "Service").

We reserve the right to modify, update, add, suspend, or discontinue features or functionality of the Service at any time. Where a material change would adversely affect your use, we will endeavour to provide reasonable prior notice by email or in-app notification. Your continued use of the Service after such notice constitutes your acceptance of the change.

We do not guarantee that the Service, or any particular feature, will be available uninterrupted or error-free. We may carry out maintenance, updates, or emergency interventions that result in temporary unavailability.

2. Accounts and Registration

To access the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account.

You must notify us immediately at success@linkartemis.com if you suspect unauthorised access to your account. We are not liable for losses caused by unauthorised use of your account where you have not taken reasonable steps to protect your credentials.

Accounts are personal and non-transferable unless we expressly permit otherwise. You may not share your account credentials with third parties or use the Service to provide services to third parties without our prior written consent.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you must not:

  • Use the Service to send unsolicited commercial communications (spam) in violation of applicable laws, including Singapore's Spam Control Act, the US CAN-SPAM Act, the EU ePrivacy Directive, or any other applicable anti-spam legislation in your jurisdiction.
  • Upload, transmit, or distribute content that is unlawful, defamatory, fraudulent, obscene, or that infringes any intellectual property or privacy right.
  • Attempt to gain unauthorised access to any part of the Service, its underlying infrastructure, or the accounts of other users.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law.
  • Scrape, crawl, or harvest data from the Service (or through the Service from third-party sources) in a manner that violates this Agreement, third-party terms of service, or applicable law.
  • Introduce malware, viruses, trojans, or other malicious code into the Service or use it as a vector to attack third parties.
  • Use automated scripts, bots, or other automated means to access or use the Service in a way that exceeds normal human usage, interferes with its operation, or places unreasonable load on our infrastructure.
  • Resell, sublicence, or otherwise make the Service available to third parties for commercial gain without our prior written consent.
  • Use the Service to process, store, or transmit data in violation of applicable privacy or data-protection laws.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to investigate suspected violations and, where we determine a violation has occurred or is reasonably suspected, to take any action we deem appropriate including suspending or terminating your account, removing offending content, and reporting conduct to law-enforcement authorities.

4. Fair Use Policy

LinkArtemis is a shared, multi-tenant platform. To ensure a consistent and reliable experience for all users, we operate a Fair Use Policy ("FUP"). This section describes what constitutes fair use and the actions we may take where usage exceeds fair use thresholds.

4.1 What Fair Use Means

Fair use means using the Service in a manner consistent with its intended purpose as an individual or small-team link-building tool, within limits that do not degrade the Service for other customers. While we do not publish hard numeric ceilings for every feature, the following are illustrative examples of usage that may fall outside fair use:

  • Running automated or scripted API calls or application requests at volumes that significantly exceed what a human user operating the interface would generate.
  • Sending or attempting to send outreach emails at volumes substantially above the limits associated with your plan, or in bursts that place disproportionate load on shared sending infrastructure.
  • Conducting bulk data extraction or large-scale prospect discovery in a manner designed to harvest our databases for use outside the Service.
  • Simultaneously running an unusually high number of concurrent campaigns or operations in a way that measurably impacts platform performance for other users.
  • Operating multiple accounts in order to aggregate usage limits that would not be available to a single account.

4.2 Throttling

Where your usage approaches or exceeds fair use thresholds, we may, without prior notice, throttle your usage — that is, temporarily reduce the rate at which the Service processes your requests. Throttling may affect email send rates, API response times, prospect discovery throughput, or other operations. Throttling is a protective measure applied to maintain platform stability and is not a breach of these Terms by us.

4.3 Suspension

If throttling is insufficient to address an adverse usage pattern, or if we determine that your use has caused or is causing harm to our platform, infrastructure, or other users, we may suspend your account. Where circumstances permit, we will endeavour to provide prior written notice (by email to the address on your account) and a reasonable opportunity to remediate the issue before suspending. In urgent cases — including where we believe there is a security risk, an ongoing harm, or a violation of applicable law — we may suspend immediately without prior notice.

During a suspension, you will retain access to your account data but will not be able to use the Service's operational features. We will lift a suspension promptly once the underlying issue is resolved to our reasonable satisfaction.

4.4 Upgrade Path

If your legitimate business needs genuinely require usage levels above standard thresholds, please contact us at success@linkartemis.com to discuss enterprise or custom arrangements. We will endeavour to accommodate high-volume legitimate use cases where technically and commercially feasible.

4.5 No Liability for Fair Use Enforcement

We shall not be liable to you for any loss or damage arising from throttling or suspension carried out in good faith under this Fair Use Policy. Where a suspension is later found to have been made in error, our sole obligation will be to restore your access promptly.

5. Fees, Payment and Lifetime Access

All fees are as displayed at checkout at the time of your purchase and are denominated in US dollars unless otherwise stated. Prices are inclusive of applicable taxes where required by law; you are otherwise responsible for any taxes, duties, or levies applicable in your jurisdiction.

One-time (lifetime) licences: Where you purchase a one-time ("lifetime") licence, you receive the right to access and use the Service for the scope defined at checkout (e.g. number of workspaces, feature tier) for the operational lifetime of the product, subject to these Terms. A "lifetime licence" means for as long as we continue to operate the Service in substantially its current form, and does not constitute a guarantee of perpetual operation or a promise that the product will never be modified, retired, or succeeded by a new product. We will act in good faith regarding access you have paid for and will provide reasonable notice before any significant changes.

Payment processing: Payments are processed by our third-party payment processors (currently Spiffy). By submitting a payment, you authorise the relevant processor to charge your payment method. We do not store full payment card details.

Failed payments: If a payment fails and, where applicable, is not resolved within a reasonable period, we may suspend access to the Service until payment is received.

6. Refunds and Money-Back Guarantee

We offer a 30-day money-back guarantee on new one-time purchases. If you are not satisfied with the Service for any reason within 30 days of your purchase date, contact us at success@linkartemis.com and we will issue a full refund of the purchase price. No questions asked.

Outside of the 30-day guarantee period, refunds are at our discretion and will generally only be provided where there is a material failure of the Service for which we are responsible and which we are unable to remedy within a reasonable time.

Refund requests arising from violations of these Terms, including the Acceptable Use Policy and Fair Use Policy, are not eligible for a refund.

Refunds will be processed to the original payment method within 5–10 business days, subject to processing times of the relevant payment provider.

7. Third-Party Services and Integrations

The Service may integrate with, link to, or depend upon third-party services, platforms, or APIs (including email delivery providers, domain authority data providers, AI model providers, and others). Your use of such third-party services is governed by their own terms of service and privacy policies, and we are not responsible for their availability, accuracy, or conduct.

We make no representation or warranty that third-party integrations will be available, accurate, or uninterrupted. We reserve the right to add, modify, or remove third-party integrations at any time without notice, where this is within our reasonable control.

Where you connect your own third-party accounts (such as email accounts or CRM systems), you authorise us to access and process data from those accounts as necessary to deliver the Service. You are responsible for ensuring your use of those third-party accounts in connection with the Service complies with the applicable third-party terms.

8. Intellectual Property

Our IP: We and our licensors retain all right, title, and interest in and to the Service, including all software, code, interfaces, branding, trade marks, databases, and documentation. Nothing in these Terms transfers any such rights to you.

Licence to you: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your own internal business purposes during the term of your licence.

Your content: You retain ownership of all content, data, and materials you upload or create within the Service ("User Content"). By submitting User Content, you grant us a limited, worldwide, royalty-free licence to process, store, and display that content as necessary to provide the Service. We do not claim ownership of your User Content and will not use it for any other purpose without your consent, except as required by law or as described in our Privacy Policy.

Feedback: If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without obligation or compensation to you.

9. Confidentiality

Each party may receive confidential information of the other in connection with the Service. Each party agrees to hold the other's confidential information in confidence using at least the same degree of care it uses for its own confidential information (and in any event, no less than reasonable care), and not to disclose such information to third parties or use it for any purpose other than in connection with the Service, without the other party's prior written consent.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party without restriction before disclosure; (c) is independently developed by the receiving party without use of the disclosing party's information; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt written notice (where legally permissible) and reasonably cooperates with any effort to limit the disclosure.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any results or outputs generated by the Service (including AI-generated content or outreach messages) will be accurate, complete, or suitable for your purposes; (d) any errors or defects will be corrected; or (e) the Service or the servers that make it available are free from viruses or other harmful components.

We make no representation or warranty regarding outcomes from your use of the Service, including SEO performance, backlink acquisition rates, email reply rates, or any commercial outcome. Results depend on many factors outside our control.

You are solely responsible for ensuring that your use of the Service and any outreach campaigns you conduct comply with all applicable laws and regulations in your jurisdiction and the jurisdictions of the recipients of your communications.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS; OR (C) COST OF SUBSTITUTE GOODS OR SERVICES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING NEGLIGENCE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).

THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO CERTAIN LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Artemis Labs Pte. Ltd. and its officers, directors, employees, agents, and licensors from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or of any applicable law; or (d) your violation of any third-party right, including intellectual property rights or privacy rights.

We reserve the right, at our expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence.

13. Termination and Suspension

By you: You may stop using the Service at any time. If you wish to close your account, contact us at success@linkartemis.com. Closure of your account does not entitle you to a refund outside the applicable refund policy in Section 6.

By us for cause: We may immediately suspend or permanently terminate your access to the Service (with or without notice, depending on severity) if: (a) you breach any material provision of these Terms and, where the breach is capable of remedy, fail to remedy it within 7 days of notice; (b) we determine that your use poses a security, legal, or reputational risk to us or third parties; (c) we are required to do so by law or a regulatory authority; or (d) you provide false registration information.

By us without cause: We may terminate the Service generally or your account specifically on 30 days' written notice. Where we terminate without cause, we will offer a pro-rata refund of any prepaid fees for the unused portion of a time-based subscription, or a reasonable partial refund for a lifetime licence, having regard to the usage you have received.

Effect of termination: Upon termination, your licence to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy and data-retention practices. Sections that by their nature should survive termination will do so, including Sections 8, 9, 10, 11, 12, and 15.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-law rules.

Amicable resolution: Before initiating formal proceedings, you agree to contact us at success@linkartemis.com and allow us 30 days to attempt to resolve the dispute informally.

Jurisdiction: Subject to the paragraph above, you and we submit to the exclusive jurisdiction of the courts of Singapore. Nothing in this section prevents us from seeking urgent injunctive or other equitable relief in any competent jurisdiction.

Consumer rights: If you are a consumer, mandatory consumer protection laws in your jurisdiction may apply in addition to or in place of certain provisions of these Terms. Nothing in these Terms is intended to limit rights that cannot be excluded by law.

15. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date, and where the change is significant, by emailing the address associated with your account at least 14 days before the change takes effect.

If you continue to use the Service after updated Terms take effect, you accept the updated Terms. If you do not accept a material change, your sole remedy is to stop using the Service and, if applicable, request a refund in accordance with Section 6.

16. General

  • Entire agreement: These Terms (together with our Privacy Policy and any additional terms presented at checkout) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, representations, and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
  • Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We will not be liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet or infrastructure outages, or third-party service failures.
  • No agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
  • Language: These Terms are written in English. Any translation is provided for convenience only; in case of conflict, the English version prevails.
